\nThe name of the Club shall be The Burns Howff Club.<\/p>\n\n
\n(a) To commemorate in suitable manner the birth of Robert Burns.
\n(b) To encourage the study of the life and works of Robert Burns.
\n(c)\u00a0To foster an interest in literature, art and music.
\n(d) To promote good fellowship.<\/li>\n
\n<\/b>(a) Membership of the Club shall be open to suitable applicants who have
\nbeen duly proposed and seconded.\u00a0The Executive Committee shall
\nconsider such applications and deal with them as appropriate.
\n(b)\u00a0All membership fees shall be due at the conclusion of the AGM each
\nyear and no later than 30 June.\u00a0Any member who has not paid in due
\ntime shall be deemed to have resigned membership.
\n(c)\u00a0\u00a0The Hon Treasurer shall have the duty to bring any such resignations
\nto the notice of the Executive Committee.\u00a0The Hon Secretary shall
\nfurnish the Executive Committee with the names of replacements from
\nthe waiting list at the first Executive Committee meeting after 30 June.
\n(d) Offers of membership in respect of vacancies arising during the year shall be at the discretion of the Executive Committee.
\n(e)\u00a0Persons elected to membership shall pay a one-off joining fee in addition to their membership fee which will fall due when elected.\u00a0The amount of the joining fee shall be determined or altered by the Executive Committee.
\n(f) Members deemed to have brought the Club into disrepute by word or deed may be called before a special meeting of the Executive Committee to offer an explanation.\u00a0In the absence of such explanation or should such explanation be considered unsatisfactory, the member shall be required to resign, failing which, a motion may be tabled which on passage of a majority vote of those committee members present, will direct the Honorary Treasurer to delete the member\u2019s name from the Roll of Membership<\/li>\n
\nThe Executive Committee on behalf of the Club may from time to time confer
\n\u201cHonorary Membership\u201d on persons considered to be of sufficient merit to be
\nso honoured.\u00a0Honorary members shall have no voting rights and will not be
\neligible to be elected as an office bearer or committee member of the Club
\nunless they have previously been ordinary members.<\/p>\n\n
\n(i)\u00a0All meetings shall be presided over by the President, or in his
\nabsence, a Vice-President.\u00a0Should none of these Officer Bearers be
\npresent after ten minutes of the announced time of any meeting the
\nmembers shall elect one of their number to act as Chairman.
\n(ii)\u00a0Decisions in all meetings shall be by simple majority vote.\u00a0The
\nChairman shall have a deliberative vote and in addition shall have a
\ncasting vote in the case of equality of votes on any issue.\u00a06 members
\nshall be a quorum in the Executive Committee.
\n(iii)\u00a0Annual General Meeting
\nThe Annual General Meeting of the Club shall be held in the month of
\nMay in each year where 15 members will form a quorum.
\nThe principal business shall be:-
\n(a) To elect Office Bearers and an Executive Committee for the following
\nyear.
\n(b) To fix the annual subscription.
\n(c) To give guidance to the Executive Committee on major items of policy
\nfor the Club.
\n(d) To appoint a suitably qualified accountant who is not a member of
\nthe Club to act as an independent examiner of the Club accounts
\nfor the following year.
\n(e)\u00a0To approve the independently examined Club accounts copies of
\nwhich will be provided to the members with the notice of the meeting.
\n(f) Members shall be advised of the date of the AGM at least 28 days
\nbefore the date of the meeting.\u00a0Any motions not submitted by the
\nExecutive Committee for the AGM shall be submitted to the Honorary
\nSecretary 21 days before the date of the meeting signed by 12
\nmembers.\u00a0Copies of any such motion shall be given to all members
\nwithin 14 days of the meeting.\u00a0Matters to be raised as other
\ncompetent business shall be placed on the table prior to the meeting.
\nThe Secretary shall also advise the meeting of any other notices
\nreceived which fail to meet the foregoing criteria.
\n(g)\u00a0The Honorary Secretary may be requested to call an extraordinary
\nmeeting of the club on a motion signed by 12 members.\u00a0There is a
\nnotice requirement of 21 days and copies of the motion must be sent
\nto all members as soon as possible but no later than 14 days before
\nthe meeting.
\n(h) The Chairman shall decide on all matters of order, competency,
\nrelevancy and procedure for which no express provision is made.<\/li>\n<\/ul>\n<\/li>\n
\n(i) Any proposed alterations to the Constitution can only be made at the
\nAGM.\u00a0Such proposals must be submitted to the Honorary Secretary
\n21 days prior to the meeting and signed by 12 members.
\n(ii) All members shall be informed of any proposal to alter the Constitution
\n14 days prior to the meeting.
\n(iii) Proposals shall take immediate effect from date of AGM if accepted by
\na simple majority of members attending the AGM and entitled to vote.<\/li>\n
\n<\/b>The Executive Committee shall consist of the Office Bearers, the immediate Past President and 12 Members elected annually by simple majority vote.\u00a0Nominations for the positions of the office bearers should be notified to the Honorary Secretary at least 21 days prior to the AGM.\u00a0These should be accompanied by a declaration from the candidate and be signed by a proposer and seconder.\u00a0In the event of an election the retiring committee may recommend a candidate.\u00a0No member shall be elected to the Committee in their absence without having given prior permission in writing to the AGM.\u00a0The Executive Committee shall arrange and deal with the affairs of the Club.\u00a0Past Presidents and Trustees of the Club shall be entitled ex officio to attend the meetings of the Executive Committee without voting powers.<\/li>\n
\nThe Office Bearers of the Club shall be:-<\/p>\n
\n(b) President (elected for 1 year)
\n(c) Senior Vice President (elected for 1 year)
\n(d) Junior Vice President (elected for 1 year)
\n(e) Honorary Secretary (elected for 1 year)
\n(f) Honorary Treasurer (elected for 1 year)
\n(g) Honorary Librarian (elected for 1 year)
\n(h) Immediate Past President<\/li>\n
\n3 Trustees \u2013 Each elected for 6 years but one to retire in rotation every 2 years.\u00a0Trustees shall be eligible for re-election when they retire in rotation.
\nThe Trustees shall have the duty to pre-approve further cash withdrawals from the bank account of the Club in the event that the credit balance falls below the sum of \u00a31,000.\u00a0They shall act in a general advisory capacity to the Executive Committee of the Club.<\/li>\n
\nAGM.\u00a0The Honorary Secretary shall have a duty to keep a true
\nrecord of the proceedings of meetings, to inform Members of the
\ndates, times and agendas of meetings, to deal with the
\ncorrespondence of the Club and to undertake such other duties as
\nmay from time to time arise.
\n(b) The Honorary Secretary shall keep an up to date record of Club
\nMembership.<\/li>\n
\nscheduled meetings of the Executive Committee as to the state of the
\nClub finances.\u00a0The Honorary Treasurer shall have a duty to keep an
\naccurate accounting of the financial affairs of the Club and to present
\nannual accounts timeously for independent examination.
\nHe shall pay accounts and draw cheques as authorised by the
\nExecutive Committee.
\nThe Honorary Treasurer shall notify the Trustees in the event of the
\ncredit balance falling below \u00a31,000.
\nCheque signatories shall be President, Immediate Past President,
\nHonorary Treasurer and Honorary Secretary.\u00a0Cheques shall be drawn
\non two signatures.<\/li>\n
\nClub property.\u00a0He shall be responsible for the care and safekeeping
\nof the books and other artefacts in the possession of the Club.\u00a0He
\nshall ensure that all items borrowed from the library are returned
\ntimeously and in good condition.\u00a0He shall be responsible for arranging
\nopening times to enable Members to use the facilities.
\n(e) The Vice Presidents and Immediate Past President shall undertake
\nsuch duties in support of the President as shall arise from time to
\ntime.<\/li>\n
\nPast President, and Past Presidents in consultation with the Honorary
\nSecretary and Honorary Treasurer.<\/li>\n
\nthe Club other than as any ordinary member of the Club might benefit,
\nallowance being made however for out of pocket expenses.<\/li>\n<\/ul>\n\n
\nshall call a meeting of all the members, giving 21 days notice.\u00a0If the
\nproposal to dissolve is confirmed by a two thirds majority of those present and
\nvoting the Executive Committee shall after discharging any liabilities of the
\nClub pass any remaining assets to a local like-minded body.<\/li>\n<\/ul>\n
